(Hon Hai) intends to acquire, indirectly through its subsidiary Foxconn Ev Singapore Holdings Pte. Ltd., a controlling interest of 50% in ZF Chassis Modules GmbH, which will hold the operational division of ZF Friedrichshafen AG’s axle systems, currently exclusively controlled by ZF. Following the Contemplated Operation, ZF Chassis Modules GmbH will therefore be a joint venture held 50%-50% by ZF and Hon Hai. ZF is a global technology company that develops, manufactures, and distributes products and systems for passenger cars, commercial vehicles, and industrial technology.
