In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition as amended and supplemented, and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the « summary of the operation » below, containing the information provided by the parties.

The Competition Council has received notification of an economic concentration project concerning the acquisition by the company « Eco Wind SA », a subsidiary of the « Ynna Holding » group, of joint control of the company « Tarouma Wind 1 SA », through the acquisition of 50% of its share capital and related voting rights, alongside the company « Amea Energy Investments 20 DMCC ».

« Eco Wind SA » is a Moroccan joint-stock company, registered with the Casablanca Commercial Court under number 682341, with its registered office at 239, Boulevard Mohamed V, Casablanca, specializing in the development, design, financing, construction, operation, maintenance, and management of renewable energy production projects, as well as in the marketing of the energy produced.

« Amea Energy Investments 20 DMCC » is a company incorporated under the laws of the United Arab Emirates, a subsidiary of the « Amea Power » group, established in the Dubai Multi Commodities Centre (DMCC) free zone, registered with license number DMCC-957816, with its registered office at N° 3O-01-5619 Jewellery & Gemplex 3 Plot N^o: DMCC-PH2-J&GPlexS, Jewellery & Gemplex, Dubai, United Arab Emirates, specializing in holding and managing stakes in renewable energy projects.

« Tarouma Wind 1 SA » is a Moroccan joint-stock company, registered with the Laâyoune Commercial Court under number 27405, with its registered office at Boulevard de la Mecque, rue Essalil, Appt. 05, N°01, Laâyoune, Morocco, whose purpose is the development, financing, construction, and operation of a 104 MW wind farm located in Laâyoune, Morocco.
