Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “LasoBio S.A” of joint control of the companies “NGPH GmbH” and “MyHerbliz UG”, alongside the company “New Garden Pharma Limited”.

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the transaction” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION

The Competition Council received notification of an economic concentration transaction concerning the acquisition by the company “LasoBio S.A” of fifty-one percent (51%) of the share capital and voting rights of the companies “NGPH GmbH” and “MyHerbliz UG”, with the remaining capital of these companies being held by its historical shareholder, “New Garden Pharma Limited”. “LasoBio S.A” and “New Garden Pharma Limited” will thus jointly control the companies “NGPH GmbH” and “MyHerbliz UG”.

“NGPH GmbH” and “MyHerbliz UG” are German companies specialized in the sale/distribution of CBD-based products (oils, cosmetics, vaporizers, and dietary supplements) abroad under the Herbliz brand.

“LasoBio S.A” is a Moroccan company specialized in the production of dietary supplements and cosmetic products and is considering expanding its activity to the production and marketing of CBD-based products.
