NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the acquisition by the company “Yazaki Europe Middle East Africa NV” of the exclusive control of the companies “Juha Kunststoffverarbeitung GMBH & CO KG”, “Junker & Halverscheid Formenbau GMBH & CO KG”, and “Junker & Halverscheid Vermögensverwaltung GMBH & CO KG” through the acquisition of 100% of the share capital and related voting rights.
“Yazaki Europe Middle East Africa NV” is a Belgian public limited company registered with the Crossroads Bank for Enterprises of Belgium under number 0787626142 and headquartered at Bedrijfsstraat 1220, 3660 Oudsbergen (Belgium). The company belongs to the Yazaki Group, a Japanese global manufacturer and supplier of electrical and electronic products for the automotive industry, including electrical and electronic distribution systems (EEDS) and components for automotive applications such as cable harnesses, energy distribution and control products, connectors, driver information displays, products for hybrid and electric vehicles, and sensors.
“Juha Kunststoffverarbeitung GMBH & CO KG”, “Junker & Halverscheid Formenbau GMBH & CO KG”, and “Junker & Halverscheid Vermögensverwaltung GMBH & CO KG” are companies of the “JuHa” group.
The JuHa Group is a German group of companies registered with the local court registry of Iserlohn under numbers HRA 3586, HRA 3585, and HRA 3448. The company is located at Auf dem Schüffel 258513 Lüdenscheid (Germany). The group specializes in the manufacturing and sale of injection molds and injection-molded components in thermoplastics, silicones, and multi-components in large quantities for various industries, particularly the automotive industry.
