Press Release from the Competition Council regarding the economic concentration project concerning the acquisition of exclusive control by the company ‘OESL International’ of the Original Equipment Solutions (OESL) activity of the company ‘Continental AG’.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration project consisting of the acquisition of exclusive control by the company ‘OESL International’ of the Original Equipment Solutions (OESL) activity of the company ‘Continental AG’.

‘OESL International’ is a limited liability company incorporated under the laws of the State of Delaware, United States, registered with the Secretary of State, Division of Corporations, under number 10268832, and with its registered office at 3500 S DuPont Hwy, Dover 19901, United States. It is an acquisition vehicle whose purpose is to acquire and hold the target’s shares.

The OESL activity of the company ‘Continental AG’ includes research, development, production, and sale of products in the automotive components sector, specifically in the areas of automotive pipes and hose assemblies, anti-vibration systems for automobiles, and automotive sealing products.

‘Continental AG’ is a public limited company registered with the Hanover Local Court under number HRB 3527, with its registered office at Continental-Plaza 1, 30175 Hanover, Germany. Continental AG specializes in the manufacture of automotive parts.
