NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the creation of the joint venture ‘AS Parts SA’ by the company ‘ADS Group SA’ and the company ‘Stellantis Maroc SA’.

The company ‘Automotive Distribution and Services Group SA’ (ADS Group SA) is a Luxembourg public limited company, headquartered at 30, Dernier Sol, 2543, Luxembourg, and registered with the Luxembourg Trade and Companies Register under number B250296. Its purpose is the management and participation in companies in Luxembourg and abroad.

The company ‘Stellantis Maroc SA’ (formerly known as Fiat Chrysler Automobiles Morocco – FCAM) is a Moroccan public limited company, headquartered at Motor Village, Ouled Benameur, RP 3011, Bouskoura, Morocco, and registered with the Casablanca Trade Register under number 80469. It specializes in all activities related to the automotive sector, including mechanical construction of vehicles, trading, import, and export of vehicles and spare parts.

The full-fledged joint venture ‘AS Parts SA’ is a Moroccan public limited company, established in June 2025, headquartered at Km 9.3 Boulevard Chefchaouni Sidi Bernoussi, Casablanca, and registered with the Casablanca Trade Register under number 683309. ‘AS Parts SA’ is currently 100% owned by the company ‘ADS Group SA’. The company’s main purpose is the marketing of automotive spare parts in Morocco.
