Press Release from the Competition Council regarding the economic concentration project concerning the exclusive takeover of the company “Chem Italia Srl” and its subsidiaries by the company “OEP Bravo Bidco SPA”, indirectly owned by the company “OEP Capital Advisors, LP”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the exclusive takeover by the company “OEP Bravo Bidco SPA”, an entity indirectly controlled by the company “OEP Capital Advisors, LP”, through the acquisition of all the share capital and voting rights pertaining to the company “Chem Italia Srl” and indirectly to its subsidiaries.

“OEP Bravo Bidco SPA” is a joint-stock company under Italian law with its registered office at Via Alessandro Manzoni 38, 20121 Milan, Italy. It is an investment vehicle whose sole purpose is the investment and acquisition of the Target Group.

“OEP Capital Advisors, LP” is a private equity company, with its registered office at 510 Madison Avenue, 19th Floor, New York, NY 10022, United States, specializing in the industry, health, and technology sectors.

“Chem Italia Srl” is a limited liability company incorporated under Italian law, registered under number 04691250163, with its registered office at Strada Provinciale 12, Filago, (BG) Italy. It is a holding company of the target group specializing in the production of chemical products.
