NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration project concerning the exclusive takeover by the company “ABB Ltd” of the company “Rotork plc”, through a public tender offer for all ordinary share capital issued and to be issued by the company “Rotork plc”.
“ABB Ltd” is a limited liability company, headquartered at Affolternstrasse 44, 8050 Zurich, Switzerland, and registered in the Zurich Commercial Register under registration number CHE-101.049.653. The company is listed on the SIX Swiss Exchange in Zurich and the Nasdaq Stockholm exchange. It is the ultimate parent company of the ABB Group, established under Swiss law, with headquarters in Zurich, Switzerland. “ABB Ltd” is a technological leader in the fields of electrification and automation. By combining its engineering and digitalization expertise, “ABB Ltd” helps industries operate more efficiently, productively, and sustainably.
The proposed operation will be implemented through the company “ABB Automation Holding UK Limited”, an acquisition vehicle established under the laws of England and Wales, headquartered at Daresbury Park, Daresbury, Warrington, Cheshire, WA4 4BT, United Kingdom, and registered under number 17332914. It does not engage in any activities other than serving as an acquisition vehicle for the purposes of the proposed operation.
“Rotork plc” is a public limited company established under the laws of England and Wales, registered in the UK under company number 00578327, with its headquarters at Rotork House, Brassmill Lane, Bath, BA1 3JQ, United Kingdom. It is listed on the London Stock Exchange and is part of the FTSE 250 index. The company is a global provider of intelligent fluid control and instrumentation solutions for the oil and gas, wastewater treatment, power generation, chemical processing, and industrial applications sectors. The target has no physical presence, subsidiary, or assets in Morocco. “Rotork plc” is active in Morocco solely through limited sales to Morocco via valve manufacturers, OEMs, and other trading companies, for resale to end customers in the country.
