NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of a project of economic concentration concerning the creation of the joint venture “Integrated Industrial and Logistics Park of Zenata SA.”» by five Moroccan public entities.

“National Ports Agency” (ANP) is a public institution with legal personality and financial autonomy, established by law No. 15-02 on ports. It is responsible for the regulation, management, and development of commercial ports open to international traffic.

“National Office of Railways” (ONCF) is a public industrial and commercial institution, established by dahir No. 1-63-225 of August 5, 1963, responsible for the operation, development, and modernization of the national railway network.

“Casablanca-Settat Region” is a public law territorial collectivity, endowed with legal personality and financial autonomy, governed by organic law No. 111-14 on Regions.The Region is responsible, within its territorial jurisdiction, for the missions of promoting integrated and sustainable development through its organization, coordination, and monitoring.

“Moroccan Agency for Logistics Development” (AMDL), a public establishment under the supervision of the Ministry of Transport and Logistics, is responsible for implementing the national strategy for developing logistics competitiveness.

“Zenata Development Company” (SAZ) is a Moroccan joint stock company, a subsidiary of the CDG Group, created by decree and designated as the project owner for the development of the New City of Zenata.

The joint venture, the company “Integrated Logistics and Industrial Park of Zenata SA”, will be established as a Moroccan joint stock company. Its purpose will be the development, planning, marketing, and management of an integrated logistics and industrial platform located in Zenata.
