Press Release regarding the meeting of the Permanent Commission of the Competition Council

In accordance with the provisions of Article 14 of Law No. 20-13 on the Competition Council, the Permanent Commission of the Council held a meeting on Monday, December 5, 2022 at 09:30, under the chairmanship of Mr. Ahmed Rahhou, President of the Competition Council, to examine the files submitted to it by the Council’s investigative services.

At the beginning of its work, the Permanent Commission approved the minutes of its meeting held on November 28, 2022.
The Permanent Commission then made decisions to authorize the following economic concentration operations:

• • The acquisition of exclusive control by “Horizon Press SA” of the company “Radio Plus SA”, through the acquisition of 51% of the share capital and voting rights thereof;
  • The acquisition by the company “Ginger Participations S.A.S.”, of direct exclusive control of the company “Sofreco S.A.S.” and indirect exclusive control of the company “Conseil Santeé S.A.S.” through the acquisition of 100% of their share capital and voting rights thereof;
  • The acquisition of exclusive control of the company “Autogrill S.pA.”, a subsidiary of the company “Edizione S.p.A” by the company “Dufry AG”, through the acquisition of 50.3% of its share capital against the acquisition of a non-controlling interest by “Edizione S.p.A” of 25.25% in “Dufry AG”.
