Press release from the Competition Council regarding the economic concentration project related to the merger between the company “Akzo Nobel N.V.” and the company “Axalta Coating Systems Ltd.”

In accordance with the provisions of Article 14 of Law 20-13 on the Competition Council, the Permanent Commission of the council held a meeting on Monday, April 11, 2022 at 10:30 a.m., under the chairmanship of Mr. Ahmed Rahhou, President of the Competition Council, to examine the files submitted to it by the Council’s investigation services.

At the beginning of its work, the Permanent Commission approved the Minutes of its meeting held on April 7, 2022.

The Permanent Commission then decided to authorize the following economic concentration operations:

    • Acquisition of indirect exclusive control by the company « VITOL Holding BV » of the company « VIVO Energy PLC » through the additional acquisition of the remaining 64% of its share capital and related voting rights;
    • The establishment of the joint venture « Amplimind GmbH » by the companies « A4nXt GmbH » (ultimately controlled by the Volkswagen Group) and « Lufthansa Industry Solutions AS GmbH ».

The Permanent Commission also decided to grant a conditional derogation to the suspensive effect of concentration control in accordance with the second paragraph of Article 14 of Law 101-12 on price freedom and Competition following the request made by CMA CGM S.A, without prejudice to the final decision that will be determined by the Council after examining the impact of the operation on competition in the relevant markets.
