Statement from the Competition Council regarding the concentration project involving the acquisition by Starcin Holding France SAS, a wholly-owned subsidiary of Compagnie de Saint-Gobain S.A., of the entire share capital of the company Adfil N.V. and the associated voting rights.

In accordance with Article 13 of Law 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation as amended and supplemented, the Competition Council makes available to the public the « summary of the transaction » below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council has received notification of a concentration operation concerning the acquisition of the entire share capital of the company Adfil N.V. and the associated voting rights of N.V. (Adfil) by Starcin Holding France SAS, a wholly-owned subsidiary of Compagnie de Saint-Gobain S.A. (Saint-Gobain).

Saint-Gobain is a French company listed on the Paris Stock Exchange that manufactures and supplies a wide range of building materials.

Adfil is a Belgian group active in the development, production, and marketing of synthetic fibers, a type of product for concrete reinforcement incorporated structurally into the concrete before it hardens, to improve its strength and durability without altering its chemical properties.
