Statement from the Competition Council regarding the concentration project involving the acquisition by the company “JOHN COCKERILL DEFENSE SA” of the direct exclusive control of the company “ARQUUS SAS”, through the acquisition of all of its share capital and associated voting rights

In accordance with Article 13 of Law 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The publication of this statement does not confirm the completeness of the file provided for in Article 9 of Decree No. 2-14-652 adopted for the implementation of Law No. 104-12 on freedom of prices and competition as amended and supplemented.

• The acquirer: “JOHN COCKERILL DEFENSE SA”, part of the “JOHN COCKERILL” group;
• The target: “ARQUUS SAS”, currently fully owned by “RENAULT TRUCKS SAS”.

Nature of the operation:

• Acquisition of exclusive control.

Economic sector concerned:

• Sector of the manufacture of military vehicles and related complete systems as well as the provision of related link services.

PROVIDED BY THE PARTIES

The Competition Council has received a notification of an economic concentration operation concerning the direct exclusive control acquisition of the company “ARQUUS SAS” by the company “JOHN COCKERILL DEFENSE SA”, through the acquisition of 100% of its share capital and associated voting rights.

“JOHN COCKERILL DEFENSE SA” is a Belgian public limited company, with its registered office at 44 rue A. Deponthière, 4431 Ans, Belgium. The company produces and supplies a wide range of machinery for steelworks, industrial heat recovery equipment, boilers, hydrogen electrolyzers as well as industrial maintenance and defense equipment.

“ARQUUS SAS” is a French simplified joint-stock company, with its registered office at Camp de Satory 15 b allée des Marronniers 78000 Versailles, France. The company manufactures and produces light and medium armored military and combat vehicles.
