Statement from the Competition Council regarding the economic concentration project concerning the joint takeover of the companies “Sogefi USA Inc.” and “Sogefi Filtration SA” by the companies “Carta Acquisition France SAS” and “Carta Acquisition US Inc.”.

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information was prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The Competition Council has received notification of an economic concentration project concerning the joint takeover of the companies “Sogefi USA Inc.” and “Sogefi Filtration S.A”, subsidiaries of the company “Sogefi S.p.A”, by the companies “Carta Acquisition France SAS” and “Carta Acquisition US Inc.”, subsidiaries of the company “Pacific Avenue Capital Partners, LLC”.

“Carta Acquisition France SAS” is a French simplified joint-stock company with its registered office at 3, rue de Pondichéry 75015 Paris (France).

“Carta Acquisition US Inc.” is a company incorporated and existing under the laws of Delaware, with its registered office at Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware 19801, United States, registered with the Delaware Secretary of State under number 2512365.

“Sogefi Filtration SA” is a French public limited company, with its registered office at Immeuble La Renaissance, 1 avenue Claude Monet, 78280 Guyancourt (France), registered with the Versailles Trade and Companies Register under number 642.020.390.

“Sogefi USA Inc.” is a company incorporated and existing under the laws of the State of West Virginia (United States), with its registered office at 1389 Prichard Road, Prichard, West Virginia 25555 (United States), registered with the West Virginia Secretary of State under number 211343.

The targets are active in the manufacturing and sale of parts and accessories for the automotive industry.
