NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the indirect exclusive takeover of the company ‘Biogaran SAS’ by the company ‘BC Partners LLP’ through the acquisition of all of its share capital and associated voting rights.

‘Bastille Bidco SAS’ is a simplified joint-stock company with its registered office at 182 B Boulevard Pereire, 75017 Paris, France, with a unique identification number of 989 317 334 RCS Paris. ‘Bastille Bidco SAS’ is an entity owned by a fund advised by ‘BC Partners’. ‘BC Partners’ is an international asset management company based in London whose exclusive activity is to provide advisory services. Funds advised by ‘BC Partners’ are financial investors.

‘Biogaran SAS’ is a simplified joint-stock company, with its registered office at 15 bd Charles de Gaulle, 92700 Colombes, France, and with an identification number of 405 113 598 RCS Nanterre. ‘Biogaran SAS’ is engaged in the promotion, distribution, marketing, and sale of generic drugs, biosimilar drugs, a small range of over-the-counter drugs, dietary supplements, cosmetics, and medical devices for daily ailments, care, and well-being.
