Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “KKR & Co. Inc.” of all outstanding common shares of the company “Biotage AB”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition as amended and supplemented, and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the acquisition by the company “RWK Bidco AB” of all outstanding common shares of the company “Biotage AB”.

“RWK BidCo” (currently changing its name, previously “Goldcup 37131 AB”) is a newly established Swedish limited liability company for the purpose of the acquisition, registered under number 559525-2460, with its registered office at c/o TMF Sweden AB, Vasagatan 38, SE-111 20 Stockholm, Sweden. It is wholly and indirectly owned by investment funds, vehicles, and/or accounts advised and managed by various subsidiaries of the company “KKR & Co. Inc.” (with its subsidiaries, “KKR”).

“KKR” is an international investment company that offers alternative asset management services as well as solutions related to capital and insurance markets. KKR manages investment funds that invest in private equity, credit, and real assets and has strategic partners managing hedge funds.

“Biotage AB” is a Swedish public company, registered under number 556539-3138, with its registered office at Box 8 751 03 Uppsala, Sweden. It is a provider of innovative and sustainable solutions for drug discovery and development, as well as analytical testing.
