NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration operation concerning the acquisition by the company “Starcin Holding France SAS”, a wholly-owned subsidiary of “Compagnie de Saint-Gobain SA”, of the exclusive control of the companies “Fosroc Top One”, “Fosroc Top Two”, and “Fosroc Supply FZE”, wholly-owned subsidiaries of “Fosroc Group Holdings Limited”, through the acquisition of 100% of their share capital and associated voting rights.
“Starcin Holding France SAS” is a simplified joint-stock company under French law registered under number 829 022 698 in the Trade and Companies Register of Nanterre, with its registered office at Tour Saint-Gobain, 12 Place de l’Iris, 92400 Courbevoie, France;
“Compagnie de Saint-Gobain SA” is a French public limited company listed on the Paris Stock Exchange, with its registered office at Tour Saint-Gobain, 12 Place de l’Iris, 92400 Courbevoie, France. It manufactures and supplies a wide range of construction materials.
“Fosroc Top One Limited”, a private limited company incorporated in England, with registration number 05279409, and registered office at Drayton House Drayton Manor Business Park, Coleshill Road, Tamworth, Staffordshire, England, B78 3XN, is a holding company.
“Fosroc Top Two Limited”, a private limited company incorporated in England, with registration number 05278159, and registered office at Drayton House Drayton Manor Business Park, Coleshill Road, Tamworth, Staffordshire, England, B78 3XN, is a holding company.
“Fosroc Supply FZE”, a single shareholder limited liability company incorporated in the United Arab Emirates, with registration number 726, and registered office at Office No. LB 14328, P.O. Box 17931, Jebel Ali, Dubai, United Arab Emirates, is a company that manufactures and supplies high-performance and low-volume chemical products for the construction industry, with a focus on construction materials and construction chemicals, including chemical admixtures.
