NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council has received a notification of an economic concentration operation under which the company “Wana Corporate SA” and the company “Idemia Identity & Security France SAS” intend to create a joint venture which will be established as a Moroccan public limited company, whose activity will consist of the development, exercise, operation, establishment, offering and/or provision of digital trust services (including notably the creation and validation of electronic signatures or electronic seals or certificates related to these services).

“Wana Corporate SA” is a Moroccan public limited company with a share capital of 5,857,302,900 dirhams, headquartered at Lot. La Colline II – Sidi Maârouf – Casablanca, and registered with the Casablanca Trade Register under number 9990. The company operates in the fixed and mobile telephony, internet, and professional cloud services segments, with offerings targeting both the general public and businesses.

“Idemia Identity & Security France SAS” is a French simplified joint-stock company with a capital of 517,242,451 euros, headquartered at 2 place Samuel de Champlain, 92400 Courbevoie, France, and registered with the Nanterre Trade and Companies Register under number 440305282. The company manufactures biometric and identification systems, and offers automated biometric identification systems, facial recognition, video analysis, DNA identification, and scanners.
