Press Release from the Competition Council regarding the economic concentration project involving the joint takeover of “Compagnie Minière de Touissit S.A” by “Ayrad Group Limited” and the “Caisse Interprofessionnelle Marocaine de Retraite”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the transaction” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the joint takeover of “Compagnie Minière de Touissit S.A” by the company “Ayrad Group Limited” and the “Caisse Interprofessionnelle Marocaine de Retraite”.

“Ayrad Group Limited” is a limited liability company incorporated in the United Arab Emirates and registered under number 26123, with its registered office at DD 7109, Level 7, Al Maryah Tower, Abu Dhabi Global Market Square, Abu Dhabi, Al Maryah Island, United Arab Emirates.

“Ayrad Group Limited” is active in the mining sector based in the United Arab Emirates, present in Morocco following the acquisition of “Compagnie Minière d’Oumejrane” (CMO) in early 2025. “Ayrad Group Limited” has expertise in the copper mining sector as an operator, through exploration, development, and operation of large-scale mining projects, as well as the production and operational management of complex copper mining sites.

The “Caisse Interprofessionnelle Marocaine de Retraite” (CIMR) is a Mutual Retirement Company governed by the provisions of Title II of Law No. 64-12 establishing the Insurance and Social Welfare Control Authority, as well as by its bylaws. CIMR manages a retirement system by distribution and capitalization for the benefit of its members, mainly from the private sector.

“Compagnie Minière de Touissit S.A” (CMT) is a joint-stock company with a share capital of 168,123,300 MAD, headquartered at No. 88-90, Rue Larbi Doghmi 3rd Floor Mâarif District- Casablanca, and registered in the Trade Register under number 32499. CMT is a Moroccan player in the mining industry, specifically in the production of lead and silver-zinc concentrates.
