NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the acquisition by the company “Turkish Airlines Inc.” of joint control, alongside the company “Globalia Corporación Empresarial S.A.”, of the company “Air Europa Holding S.L.”, and indirectly of its wholly-owned subsidiaries “Air Europa Lineas Aéreas S.A.U.”, “Air Europa Suma Miles SLU”, “Aeronova S.L.U.”, “León Activos Aeronáuticos S.L.U.”, and “Globalia Activos Inmobiliarios S.A.U.”, through the acquisition of approximately 26.95% of the capital and voting rights of the company “Air Europa Holding S.L.”.
“Turkish Airlines Inc.” is a private Turkish joint-stock company listed on the Istanbul Stock Exchange (BIST), with its headquarters at Genel Yönetim Binası, Yeşilköy Mah. Havaalanı Cad. No :3/1 34149 Bakırköy, İstanbul, Turkey, and registered under registration number 75184-0 with İstanbul Ticaret Sicili Memurluğu (central registry system number: 0876-0047-4640-0017).
The Turkish Airlines group (which includes “Turkish Airlines Inc.” together with all its controlled entities) operates in the aviation sector, with its main activities covering all types of domestic (in Turkey) and international passenger and freight air transport, including regular and charter international flights.
“Air Europa Holding S.L.” is a Spanish limited liability company, with its headquarters at Carretera Arenal-Llucmajor km 21.5, Polígono Son Noguera, 07620 Llucmajor, Majorca, Spain, and registered with the Palma de Mallorca Commercial Registry under references: Page PM-87.946, Volume 2838, Sheet 154.
The target group (which includes “Air Europa Holding S.L.” and the aforementioned wholly-owned subsidiaries) is a Spanish airline group that mainly operates regular international and domestic (in Spain) air services for passenger and freight transport.
“Air Europa Holding S.L.” and its wholly-owned subsidiaries are exclusively controlled by the company “Globalia Corporación Empresarial S.A.”, which is a Spanish joint-stock company, with its headquarters at Carretera Arenal-Llucmajor km 21.5, Polígono Son Noguera, 07620 Llucmajor, Majorca, Spain, and registered with the Mallorca Commercial Registry, Page PM-26.677, Volume 2587, Sheet 187.
Following the completion of the operation, “Air Europa Holding S.L.” and its wholly-owned subsidiaries will be jointly controlled by “Turkish Airlines Inc.” and “Globalia Corporación Empresarial S.A.”.
