In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘summary of the transaction’ below, containing the information provided by the parties.

The Competition Council has received notification of a project for an economic concentration operation concerning the joint control acquisition by the company “Ademana Holding Ltd”, directly or indirectly through a dedicated investment vehicle, of the company “Maymana Caterer SA”, alongside the historical shareholders, namely the BENCHAKROUN family, through the acquisition of 50% of the share capital and the related voting rights. Ademana Holding Ltd belongs to the Adenia group.Adenia Holding Ltd is a pan-African private equity group committed to investing responsibly and sustainably on the African continent, providing financial support and guidance to the management teams of its investee companies. Adenia Holding Ltd intends to carry out the transaction either directly or indirectly through a dedicated investment vehicle. Maymana Traiteur S.A. is a Moroccan joint stock company with a share capital of 17,918,800 dirhams, headquartered in Rabat at 248, Avenue Mohamed VI Souissi, registered with the Rabat Trade Register under number 52299. The company operates in the premium food retail sector and high-end catering.
