Statement from the Competition Council regarding the economic concentration project concerning the joint control acquisition of the company “Sekera Services SARL” by the company “Pontega Capital SARLAU” through the acquisition by its subsidiary “AEGIS Ventures S.A” of 55% of its share capital and related rights from its historical partners

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the transaction” below, containing the information provided by the parties.

The Competition Council has received notification of a project for an economic concentration operation concerning the joint control acquisition of the company “Sekera Services SARL” by the company “Pontega Capital SARLAU” through the acquisition by its subsidiary “AEGIS Ventures S.A.” of 55% of its share capital and the related rights, alongside its historical partners.

Pontega Capital SARLAU is a single-member limited liability company with a share capital of 216,800,000 dirhams, registered with the Casablanca Trade Register under number 632693, with its registered office located at Lot Florida, Bd Zoulikha Nasri No. 25, 4th floor, Sidi Maarouf, Casablanca, whose activity consists of acquiring equity interests in various companies for the purpose of making strategic investments and managing such equity interests.

AEGIS Ventures SA is a public limited company with a share capital of 300,000 dirhams, registered with the Casablanca Trade Register under number 704635, with its registered office located at 77, Rue Mohamed Smiha, 10th floor, Apartment No. 57, Casablanca, and whose main activity comprises cybersecurity services and new information and communication technologies.

Sekera Services SARL is a limited liability company with a share capital of 100,000 dirhams, registered with the Casablanca Trade Register under number 392037, with its registered office located at 57, Rue La Saone, Polo, Casablanca, and whose activity consists of IT services, consulting, development and marketing of IT solutions, including in the field of cybersecurity.
