NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the acquisition of exclusive control by the company “Cox Water S.L” over the company “Abengoa SA”, through the acquisition of all of the assets of the latter.

“Cox Water S.L” is a Spanish limited liability company, whose registered office is located at Calle Energia Solar 1, CP 41014, Seville, Spain, and registered under number B13967260. It represents the branch of the “Cox” group dedicated to the water sector, in particular the design, construction and operation of desalination plants, wastewater treatment facilities and drinking water supply infrastructure.

“Abengoa SA” is a Spanish public limited company, whose registered office is located at Calle Energia Solar 1, Campus Palmas Altas, 41014, Seville, Spain, and registered under number A41002288. The company is active in engineering, energy and water treatment. The target’s activities in Morocco mainly concern the operation of the desalination unit in the province of Chtouka-Aït Baha, as well as the operation of the Ain Beni Mathar thermo-solar power plant.
