In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘summary of the transaction’ below, containing the information provided by the parties.

The Competition Council has received notification of a project of economic concentration concerning the acquisition of indirect exclusive control of the companies Fosber S.p.A., Guangdong Fosber Intelligent Equipment Co., Ltd., and Tiruña (Guangdong) Intelligent Equipment Manufacturing Co., Ltd. by Foresight US BidCo Inc. which is indirectly and exclusively controlled by funds managed and/or advised by Brookfield Corporation and/or its subsidiaries.

Foresight US BidCo, Inc. is a corporation, under American law, registered in the State of Delaware, in the United States under number 20253901401, and with its registered office located at Corporation Trust Center, 1209 Orange Street, Wilmington, DE 19801. It acts as an acquisition vehicle created for the purpose of carrying out the operation, and indirectly owned by Brookfield Corporation.

Brookfield Corporation is a publicly traded Canadian corporation, registered under number 1644037, with its headquarters located at Brookfield Place, 181 Bay Street, Suite 100, Toronto, Ontario, M5J 2T3, Canada. It is an international investment company, active in renewable energies and energy transition, infrastructure, private equity, and real estate. Fosber S.p.A. is an Italian joint-stock company, registered 00429870462, with its headquarters at via per Camaiore 27/28 – 55064, Pescaglia (LU), Italy.

Guangdong Fosber Intelligent Equipment Co., Ltd. is a private company incorporated in China under number 91440605321639227D, with its headquarters at no. 1 Gongye Blvd W., Shishan, Nanhai District, Foshan, Guangdong, China.

Tiruña (Guangdong) Intelligent Equipment Manufacturing Co., Ltd. is a private company incorporated in China under number 91440605MA4WJCH83E, with its headquarters at no. 26, Yinshi Road, Luodong Village, Shishan Town, Nanhai District, Foshan City, China.

The target companies operate in the market of supplying automated machines for the production of corrugated cardboard.
