NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of a project of economic concentration consisting of the acquisition of exclusive control by the company “Nexture S.p.A” of the company “Oferta Genuína, SA” and its subsidiaries, through the acquisition of 100% of the share capital and voting rights attached thereto.
“Nexture S.p.A.”}» is a joint stock company established in 2025, under Italian law, registered under number 14209040964, with its registered office located at Via Alessandro Manzoni 38, Milan, Italy. The Nexture group designs, manufactures and markets solutions of semi-finished ingredients, including mixes for bread and pastry, fats and oils, fruit and cream fillings, toppings, gelato bases and functional ingredients. Its clients include both industrial food product manufacturers and artisanal clients (bakeries, pastry shops, and establishments in the hotel, restaurant, and café sector (HoReCa)).
“Oferta Genuína, SA” is a limited liability company duly established under the laws of Portugal in December 2019, and registered with the Lisbon Commercial Registry under number 515775886, with its registered office at Rua do Outeiro, n° 589, 4475-150 Maia, Portugal. The company is a global producer of semi-finished ingredients, namely specialized natural ingredients based on fruits and vegetables for the food and beverage industry.
