NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of a project of economic concentration consisting of the exclusive takeover by the Company “Robinson Technologies SA” of the company “Maltem Consulting Group SAS” and indirectly the control of its subsidiaries, notably in Morocco, through the acquisition of 100% of its share capital and voting rights thereto.

“Robinson Technologies SA” is a French public limited company, headquartered in Lyon, France.It is a financial holding company, involved in the IT services sector, as the parent company of the ‘Astek’ group, a global player in engineering and technology consulting.

‘Maltem Consulting Group SAS’ is a simplified joint stock company under French law, with its registered office in Paris, France, active in process automation, designing management and data analysis tools to optimize decision-making, as well as developing, improving, and securing digital solutions. ‘Maltem Consutling Group’ directly holds a majority stake in ‘Maltem Africa SARL’.

‘Maltem Africa SARL’ is a limited liability company under Moroccan law, with its registered office in Casablanca, operating in digital transformation specifically in strategic and operational consulting, designing and implementing digital products and transformation.She holds a majority stake in ‘Maltem Academy SARL’ and ‘Valkima SARL’.

‘Maltem Academy SARL’ is a limited liability company under Moroccan law, with its head office located in Casablanca, specializing in professional training and event organization for businesses.

‘Valkima SARL’ is a limited liability company under Moroccan law, with its head office located in Casablanca. This is a company specializing in digital transformation consulting and complex project approach.
