NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council has received notification of a proposed economic concentration transaction concerning the acquisition by “Naps SA” of the assets of “Centre Monétique Interbancaire SA”, consisting of the free transfer of merchant subscription agreements relating to payment acquiring activities through Electronic Payment Terminals (EPT).

“Naps SA” is a public limited company incorporated under Moroccan law, with its registered office located at Technopole Aéropole Mohammed V, Nouaceur, Casablanca, and registered with the Casablanca Trade Register under number 130313. It operates in the card-based electronic payment market.

The target assets consist of contracts between merchants and “Centre Monétique Interbancaire SA”. The latter is a public limited company incorporated under Moroccan law, with its registered office located at 8, Avenue Moulay Rachid, Casablanca, and registered with the Casablanca Trade Register under number 107713. It operates in the field of electronic payment studies and services.
