Press Release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “Cdm Pay SA” of the assets of the company “Centre Monétique Interbancaire SA”

• The acquirer: “Cdm Pay SA”;
• Target assets: Merchant membership contracts related to the activity of the Interbank Monetary Center SA “CMI” for monetary payments on (i) Electronic Payment Terminal “EPT” and (ii) online via credit card (acquisition “PEL” and E-Commerce Gateway “PSP”).

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the acquisition by the company “Cdm Pay SA” of the asset elements of the company “Interbank Monetary Center SA” consisting of merchant membership contracts related to the activity of monetary payments on (i) Electronic Payment Terminal “EPT” and (ii) online via credit card (acquisition “PEL” and E-Commerce Gateway “PSP”).

“Cdm Pay SA” is a Moroccan joint stock company, with its registered office at 201 Boulevard d’Anfa, 2nd Floor, Wing A – Casablanca, registered with the Casablanca Trade Register under number 670139.Elle est active dans le marché des paiements électroniques par carte.

The target assets consist of contracts between merchants and ‘Centre Monétique Interbancaire SA’. The latter is a public limited company incorporated under Moroccan law, with its registered office located at 8, Avenue Moulay Rachid, Casablanca, and registered with the Casablanca Trade Register under number 107713. It operates in the field of electronic payment studies and services.
