NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project consisting of joint control by the company ‘Gateway Investment Holdings Limited’ and the company ‘Fipar Holding SA’ of the companies ‘Morocco DataCenter MDC SAS’, ‘Munisys SA’ and ‘Medafrica Systems Medasys SA’ through the acquisition of 100% of their share capital and related voting rights, through a holding company currently being formed.

‘Gateway Investment Holdings Limited’ is a private limited company under English law, headquartered in London, United Kingdom. It is an investment vehicle 100% owned by ‘Helios Investors IV, L.P’, an investment fund focused on Africa.

‘Fipar Holding SA’ is a Moroccan joint stock company, headquartered in Rabat, a subsidiary 100% owned by ‘CDG Invest SA’. It is a generalist investment fund with a medium to long-term investment horizon.

The direct acquirer of control is a Moroccan joint stock company currently being formed, which will be jointly controlled by ‘Gateway Investment Holdings Limited’ and ‘Fipar Holding SA’, holding 44.05% and 40.42% of its share capital and related voting rights, respectively.

‘Morocco DataCenter MDC SAS’ is a simplified joint stock company under Moroccan law, headquartered in Temara, whose main purpose is the design, construction, development, and operation of data centers.

‘Munisys SA’ is a Moroccan joint stock company, headquartered in Bouskoura, whose main activity is that of an IT integrator, assisting its clients in deploying system and telecommunications infrastructures, strengthening cybersecurity, as well as implementing cloud and virtualization solutions.

‘Medafrica Systems Medasys SA’ is a Moroccan joint stock company, headquartered in Rabat, active in the IT integration sector and assisting its clients in the provision and integration of IT solutions.
