NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the exclusive takeover by the investment fund ‘Valoris Equity Fund’ of ‘Société de Confection Tazi Export SARL’, through the acquisition of 80% of its share capital and related voting rights.

‘Valoris Equity Fund’ is a generalist investment fund in the form of a collective capital investment fund (CCIF), governed by Law No. 41-05 on collective capital investment organizations, managed by the Moroccan public limited company ‘Valoris Capital’ specialized in investment fund management, a subsidiary of ‘Valoris Group’, a Moroccan public limited company active in consulting, financial engineering, real estate investment, and stock brokerage. ‘Valoris Equity Fund’ aims to invest in small and medium-sized enterprises;

‘Société de Confection Tazi Export SARL’ is a limited liability company, headquartered at Lot N 27 Zone Industrielle Sidi Maarouf, Casablanca, Morocco, registered with the Casablanca Trade Register under number 46 469 and active in the textile sector.
