NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the exclusive takeover by the company ‘Tata Technologies Pte. Ltd.’ through the acquisition of 100% of the share capital and voting rights of the company ‘ES-Tec GmbH’ and the companies in which it holds directly or indirectly controlling interests.
‘Tata Technologies Pte. Ltd.’ is an Indian company active in the product engineering sector, providing engineering and design services, product lifecycle management, manufacturing, product development, and IT services management to automotive and aerospace equipment manufacturers and industrial machinery companies. The ‘commercial vehicles’ activity of the Tata Motors Group is present in Morocco through a distributor for the sale of vehicles and spare parts. However, the entity has no manufacturing activity in Morocco.
‘ES-Tec GmbH’ is a German company with multiple sites in Wolfsburg, Berlin, Ingolstadt (Germany), Changchun (China), and Casablanca (Morocco). With over 300 employees, its activities include pre-development, requirements and systems engineering, R&D product management, and testing. It provides engineering services and offers electronic and mechanical development services to the automotive industry. ‘ES-Tec GmbH’ is present in Morocco through its subsidiary ‘Engineering System and Technologies SARL,’ which provides services to ‘ES-Tec GmbH’ in Germany only and has no external clients in Morocco.
