Names of the companies and groups involved:
- Indirect acquirer: the company ‘DFDS A/S’;

- The target: the assets including a part of the activity on the Algeciras-Tanger Med route (Tanger Med activity) and the activity on the Algésiras-Sebta route (Sebta activity) of the group ‘Armas Trasmediterránea’.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the acquisition by the company ‘DFDS Iberia SLU’, a 100% subsidiary of the company ‘DFDS A/S’, of the exclusive control of assets including a ship to operate regular maritime passenger and freight services between Tanger Med and Algésiras and another ship to provide the Sebta-Algésiras connection, as well as the personnel necessary for their operation, the commercial fund, and the mooring rights in the ports, currently held by the group ‘Armas Trasmediterránea’.
‘DFDS Iberia SLU’ is a limited liability company established under Spanish law, with its registered office at Calle de la Línea de la Concepcion, 3 Polígono Industrial de la Vega Tarifa, 11380 Cádiz, Spain, and registered with the Cadiz Commercial Registry under tax identification number NIF: B61873519. It is active in both passenger and freight transport between Spain and Morocco through the Strait of Gibraltar.
‘DFDS A/S’ is a limited liability company established under Danish law, with its registered office at Marmorvej 18, DK-2100, Copenhagen, Denmark, and registered with the Danish Business Registry (CVR) under number: 14194711. This company operates a maritime transport network throughout Europe and provides ferry transport services, as well as logistics solutions, albeit with limited scope in Morocco for the latter.
The assets include the following operational units of maritime transport: (i) one of the two ships operating on the route between Algésiras and Tanger Med (‘Tanger Med Activity’) and (ii) the ship operating on the route between Algésiras and Sebta (‘Sebta Activity’) of the group ‘Armas Trasmediterránea’, as well as the personnel necessary for their operation, the commercial fund, and the mooring rights in the ports concerned.
The selling companies are Naviera de Jandía SL, Armas Trasmediterránea Factoring SL, Compañía Trasmediterránea SA, Naviera Armas SA; Trasmediterranea Shipping Maroc SARL, Agencia Schembri SA, and Artra Servicios Corporativos SL. The group ‘Armas Trasmediterránea’ is active in the maritime transport sector.
