NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the acquisition by ‘ISP Morocco Holdings SAS’ of the exclusive control of ‘American Academy Casablanca International School Privé SARL’.

‘ISP Morocco Holdings SAS’ is a simplified single-member joint-stock company under Moroccan law, with its registered office at 49 Rue Jean Jaurès, 6th floor, apartment 12, Gauthier, Casablanca, and is registered under number 608841 with the Casablanca Trade Register. The company’s purpose is the acquisition, subscription, or holding of direct or indirect interests in all types of educational establishments.

‘American Academy Casablanca International School Privé SARL’ is a limited liability company under Moroccan law. Its registered office is located at 21 Rue des Papillons, Oasis District, Casablanca, and is registered under number 113077 with the Casablanca Trade Register. The company operates two establishments in Casablanca under the American Academy brand, one located in the Oasis district and the other in Bouskoura.
