NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration transaction concerning the exclusive takeover by the company ‘Building Logistics Services SA’ of the company ‘Transload SARL’, through the acquisition of 100% of its share capital and related voting rights.
‘Building Logistics Services SA’ (BLS) is a Moroccan joint stock company with its registered office in Zone Industrielle Ouled Saleh Bouskoura, Casablanca, registered with the Casablanca Trade Register under number 250301. BLS is active in the warehousing of goods, fast-moving consumer goods, hygiene products, food, health, and cosmetics.
BLS is controlled by (i) the company H&S Invest Holding, a Moroccan joint stock company, registered with the Casablanca Trade Register under number 140531, and (ii) by the French company STOA, which is a French investment fund holding minority stakes in predominantly greenfield projects in Africa, Asia, and Latin America, in the energy, transport and logistics, telecommunications, environment, and social sectors, (‘STOA’) and by the International Finance Corporation (IFC), a global financing institution, a member of the World Bank Group.
‘Transload SARL’, a Moroccan limited liability company with a capital of 6,000,000 dirhams, whose registered office is located at 6 Rue du 6 octobre 5ème étage, Casablanca, registered with the Casablanca Trade Register under number 186711. It is active in the freight transport sector.
