Press release from the Competition Council regarding the economic concentration project concerning the acquisition of exclusive control of the company ‘Benteler International AG’ by the company ‘CAB II GmbH’ through the acquisition of 100% of the capital and voting rights

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘operation summary’ below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the project to acquire exclusive control of ‘Benteler International AG’ by ‘CAB II GmbH’ through the acquisition of 100% of its capital and voting rights.

‘CAB II GmbH’ is a holding company governed by Swiss law, registered under number CHE-250.106.274, with its registered office at Baarerstrasse 131, 6300 Zug, Switzerland. It is ultimately controlled by the company ‘Casper Benteler’.

‘Casper Benteler’ controls two companies engaged in commercial activities: (i) Benteler Trading International (‘BTI‘) and (ii) Galvan International Limited (‘Galvan‘)

‘Benteler International AG’ is an Austrian company with its registered office at Salzbourg, Schillerstrasse 25-27, Austria, and registered in the commercial register of the regional court of Salzbourg under number FN 319670 d. ‘Benteler International AG’ is a globally active family business that designs and manufactures high-tech components, modules, and tubular solutions for the final markets of the automotive, energy, and industry sectors. It is also involved in the development of autonomous vehicles for passenger transport.
