Statement from the Competition Council regarding the economic concentration project concerning the acquisition by the association ‘Ports4Impact’ of the company ‘Raja Club Athletic Société Anonyme Raja SA’

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘summary of the operation’ below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received a notification of a concentration project concerning the acquisition of exclusive control by the association ‘Ports4Impact’ of the company ‘RAJA CLUB ATHLETIC SOCIETE ANONYME RAJA SA’.

Ports4Impact is an association governed by Dahir No. 1.58.376 of 3 Joumada I 1378 (November 15, 1958) regulating the right of association (as amended), with its registered office at Entrance du Port No. 3, BP 10928, Casablanca, Morocco. Ports4Impact is ultimately controlled by the company ‘Marsa Maroc SA’. Its purpose is to promote the Corporate and Economic Responsibility policy of Marsa.

Raja S.A is a public limited company with a Board of Directors and a share capital of 300,000 dirhams, with its registered office at Boulevard Bir Anzarane, 8th floor, apartment 81 Romandie 2, Casablanca, registered with the Casablanca Trade Register under number 467977.

The company Raja SA, established as a sports company in accordance with the provisions of Article 15 of Law No. 30-09 on physical education and sports, as amended and supplemented, has the exclusive purpose of managing and developing the professional and elite football activity of the sports association named Raja Club Athletic.
