Press release from the Competition Council concerning the economic concentration project regarding the exclusive takeover by the company ‘Project Aurora Bidco Limited’ of the company ‘Spectris plc’

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the acquisition by ‘Project Aurora Bidco Limited’ of the exclusive control of ‘Spectris plc’, through the acquisition of up to 100% of its shares and associated voting rights.

‘Project Aurora Bidco Limited’ is a limited liability company incorporated under the laws of England and Wales for the purpose of the operation. Its registered office is located at Duo, Level 6, 280 Bishopsgate, London EC2M 4RB, United Kingdom, and it is registered under number 16440737 in the British Companies Register. ‘Project Aurora Bidco Limited’ is an acquisition vehicle currently indirectly owned 100% by investment funds, vehicles, and/or accounts advised and managed by various subsidiaries of KKR & Co. Inc. (‘KKR & Co.’ and its subsidiaries, ‘KKR’).

‘KKR & Co.’ is an international investment company that offers alternative asset management services, as well as solutions in the capital markets and insurance. ‘KKR’ manages funds that invest in private equity, credit, and real assets, and has strategic partners managing alternative funds.

‘Spectris plc’ is a public limited company incorporated under the laws of England and Wales. It is listed on the London Stock Exchange. Its registered office is located at 6^th Floor, The Block, Space House, 12 Keeley Street, London, WC2B 4BA. It is registered under number 02025003 in the British Companies Register. The company’s purpose is the manufacture and supply of precision test and measurement instruments.
