NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the exclusive takeover by the company ‘Ardian France SA’ of the company ‘MG Holding SAS’.

‘Ardian France SA’ is a French public limited company, registered with the Paris Trade and Companies Register under number 403201882 and headquartered at 20 Place Vendôme 75001, Paris, France. Its activity consists of providing investment management services to a number of investment funds.

The company ‘MG Holding SAS’ is a simplified joint-stock company registered with the Grenoble Trade and Companies Register under number 852947407 and headquartered at 2 rue Neva, 38000 Grenoble, France. It is the parent company of the ‘MasterGrid’ group, which specializes in the manufacture and maintenance of equipment for electrical infrastructures, particularly in the high voltage segment.

The ‘MasterGrid’ Group has a subsidiary in Morocco, ‘MasterGrid Maroc SARLAU’, which is a single-member limited liability company, registered with the Casablanca Trade Register under number 470563 and headquartered at 104 Bis Boulevard Abdelmoumen– Casablanca.
