Press release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company “The Capital Global Services Fintech SL” of the company “SJL Maghreb SA” and its direct and indirect subsidiaries through the acquisition of 100% of its capital and associated voting rights.

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition as amended and supplemented, and Article 10 of Decree No. 2-14-652 for its implementation, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received a notification of an economic concentration operation concerning the exclusive takeover by the company “The Capital Global Services Fintech SL” of the company “SJL Maghreb SA” and its direct and indirect subsidiaries through the acquisition of 100% of its capital and associated voting rights.

“The Capital Global Services Fintech SL” is a Spanish limited liability company, an indirect subsidiary of the company “Movicar Global Business SL” that provides business management consulting, financial consulting, and intermediation services.

“SJL Maghreb SA” is a Moroccan joint stock company, currently held at 94.29% by the company “IAPEF 2SJL” and at 5.71% by the company “PME Croissance”. It operates with its subsidiaries in the sectors of road freight transport and logistics services.
