Press Release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “The Carlyle Group Inc.”, through the company “CP Spruce Holdings, SCSp”, of the exclusive control of the renal care segment of the company “Baxter International Inc.”, known as “Vantive”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the below “operation summary” containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The publication of this press release does not attest to the completeness of the file provided for in Article 9 of Decree No. 2-14-652 issued for the implementation of Law No. 104-12 on freedom of prices and competition as amended and supplemented.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the acquisition by the company “The Carlyle Group Inc.”, through the company “CP Spruce Holdings, SCSp”, of the indirect exclusive control of the renal care segment of the company “Baxter International Inc.”, known as “Vantive”.

“The Carlyle Group Inc.” is a US company active in alternative asset management and managing funds that invest internationally in three investment disciplines: (i) private equity (including corporate private equity, real estate, and natural resources private equity); (ii) credit (including liquid credit, illiquid credit, and real asset credit); and (iii) investment solutions (private equity fund program, which includes primary funds, secondary funds, and corresponding co-investment activities).

“CP Spruce Holdings, SCSp” is a Luxembourg special limited partnership established for the purpose of carrying out the operation.

“Vantive” is the renal care segment of “Baxter International Inc.”, a US company. It is primarily engaged in the supply of renal replacement therapy (RRT) products. RRT products are used to treat patients with renal failure.
