NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the acquisition of exclusive control of the company “Deleplanque & Company” by the company “RAGT Semences SAS” through the acquisition of all the shares of the share capital and voting rights of “DeMeter SAS”, which holds 50.64% of the share capital of “Deleplanque & Company SAS” and 28.46% of “Deleplanque & Company SAS”.
“RAGT Semences” is a simplified joint-stock company (SAS) established under French law, with its registered office located at Bourran site – Emile Singla street – RODEZ (12000), and registered with the Rodez Trade and Companies Register under number 431 899 756. It specializes in research, selection, production, and marketing of seeds for various agricultural crops. It is part of the RAGT group, a historical player in the agricultural sector.
“DeMeTer” is a simplified joint-stock company established under French law, with its registered office located at 35 bis, rue des Canus in Maisons-Laffitte (78600 – France), and registered with the Versailles Trade and Companies Register under number 842 426 819. “DeMeTer SAS” is a financial holding company with no operational activity and holding a majority stake in the company “Deleplanque SAS”
“Deleplanque” is a simplified joint-stock company established under French law, with its registered office located at 35 b rue des Canus – 78603 Maisons-Laffitte Cedex-France, and registered with the Versailles Trade and Companies Register under number 589 800 663. It specializes in the agricultural sector, mainly in the selection, production, marketing, and distribution of seeds.
