NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the acquisition by the “Casablanca-Settat Regional Multiservice Company SA” of the exclusive control of the company “Lydec SA” through the acquisition of 99.67% of the share capital and related voting rights.
The company “Casablanca-Settat Regional Multiservice Company SA” is a Moroccan public limited company, created in accordance with the provisions of Law 83.21 on regional multiservice companies and Decree No. 2.23.1034 of February 19, 2024, relating to the authorization for the creation of twelve regional multiservice companies, whose activity consists of managing public services related to drinking water distribution, electricity, and liquid sanitation in the Casablanca-Settat region.
The company “Lydec SA” is a Moroccan public limited company, active in the delegated management of the public service for the distribution of drinking water and liquid sanitation, electricity, and public lighting in Greater Casablanca, under a delegated management agreement for these services on behalf of the Casablanca-Settat Grouping of Territorial Communities.
