NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration operation concerning the acquisition of exclusive control of the company “Akdital immo SA” by the company “Aradei Capital SA” through the acquisition of the remaining 49% of the share capital and related voting rights.
Following the operation, “Aradei Capital S.A.” will take exclusive control of the company “Akdital immo S.A.” and its subsidiaries, which are active in the ownership, acquisition, and development of real estate assets to generate long-term rental income, specifically in the healthcare market in Morocco.
“Aradei Capital SA” is a Moroccan joint-stock company, founded in 1990, registered with the Casablanca Trade Register under No. 57265, with its head office at 1, Boulevard Zoulikha Nasri, Sidi Maârouf, Casablanca, Morocco. The company is listed on the Casablanca Stock Exchange and has a diversified portfolio of real estate assets (commercial assets, industrial assets, bank branches, and offices) spread across 28 cities in Morocco.
“Akdital Immo SA” is a Moroccan joint-stock company, registered with the Casablanca Trade Register under number 471579 and headquartered at Green Office 19 and 20, Beau séjour, at the corner of Route d’Al Jadida and Boulevard Abderrahim Bouabid. The company specializes in the ownership of real estate assets intended for development and rental in the healthcare sector in Morocco.
