NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration project concerning the exclusive takeover by the company “Agro Care Group B.V.”, through its subsidiary “Quality Tomato Nederland B.V”, of the company “Omagreen SARL”, through the acquisition of 100% of its share capital and voting rights.
“Agro Care Group B.V.” (formerly known as TGM Holding B.V.) is a Dutch limited liability company, the parent company of the “Agro Care” group, resulting from the merger in 2024 between “Agro Care Beheer B.V.” and “VHC Holding B.V.” The group specializes in greenhouse tomato cultivation, recognized as one of the largest producers in Europe. The company focuses on tomato production, with a specialization in cluster tomatoes.
“Quality Tomato Nederland B.V” is a Dutch limited liability company with a share capital of 30 euros, headquartered at Naaldwijkseweg 100, 2291PA Wateringen, Netherlands, registered with the Chamber of Commerce of the Netherlands under number 62876899, and active in vegetable production and wholesale trade of fruits and vegetables. The company wholly owns its Moroccan subsidiary named “Quality Tomato Morocco SARL”.
“Quality Tomato Morocco SARL”, a limited liability company with a share capital of 21,547,800 dirhams, headquartered at Douar Oukhrib Irrigated Perimeter Property Known as Bahraoui 2 Sector Toussous, Belfaa, Agadir, Morocco, registered with the Agadir Trade Register under number 9969, engaged in the production, packaging, and export of fruits and vegetables.
“Omagreen SARL” is a limited liability company with a share capital of 100,000.00 dirhams, headquartered at 207, Building B Marbella, Hay Dakhla, Agadir, Morocco, registered with the Agadir Trade Register under number 49585, engaged in agricultural activities.
