Press Release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “Mutares SE & Co. KGaA” of the exclusive control of the companies “Jadeed Holding B.V.” and “Plastics US Holding LLC”

In accordance with Article 13 of Law 104-12 on freedom of prices and competition as amended and supplemented and Article 10 of Decree No. 2-14-652 issued for its implementation, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project under which the company “Mutares SE & Co. KGaA” intends to indirectly acquire exclusive control of the companies “Jadeed Holding B.V.” and “Plastics US Holding LLC”, holding companies of the “Jadeed Group”, operating in the global market for the manufacture and distribution of engineering thermoplastics.

“Mutares SE & Co. KGaA” is a German limited partnership by shares, registered in the commercial register of the Munich Local Court under number HRB 250347, with its registered office at Arnulfstraße 19, 80335 Munich, Germany. It is mainly active in taking stakes in industrial companies, particularly in divisions sold by large industrial groups as well as in medium-sized companies undergoing operational or financial transformation. “Mutares SE & Co. KGaA” operates in several sectors, including automotive and mobility, engineering and technology, infrastructure and specialized industries, goods and services, as well as chemistry and materials.

“Jadeed Holding B.V.” is a Dutch limited liability company, registered in the trade register of the Chamber of Commerce under number 96923431, with its registered office in Bergen op Zoom, Netherlands. It is a holding company that brings together all entities active in the manufacture and distribution of three types of engineering thermoplastics in Europe, namely polycarbonate (PC), polybutylene terephthalate (PBT), and acrylonitrile butadiene styrene (ABS), used by customers in the automotive, building and construction, health, electricity and electronics, consumer, and other sectors.

“Plastics US Holding LLC” is an American limited liability company, with its registered office in Wilmington, Delaware, United States. It is a holding company that brings together all entities active in the manufacture and distribution of these three types of engineering thermoplastics in America.
