NON-CONFIDENTIAL SUMMARY PROVIDED BY THE PARTIES
The Competition Council has received notification of a project for an economic concentration operation concerning the acquisition by the company « SAS Shipping Agencies Services Sàrl » (« SAS Lux »), an indirectly and wholly owned subsidiary of the company « MSC Mediterranean Shipping Company Holding SA » (« MSC Holding, with its subsidiaries, the « MSC Group »), of the exclusive control of a company being formed « NewCo Asso Maritime SA », after the contribution by « Asso Maritime S.A. » of certain subsidiaries, including notably « Jobson Italia Srl » (« Jobson Italia ») as well as its subsidiaries, and « United Arab shipping engineering & ship repair services LLC » (« UASC UAE LLC »).
The « MSC Group », headquartered in Geneva, Switzerland, is mainly active globally in the maritime container shipping, port handling, and logistics sector, on the one hand, and in passenger maritime transport, on the other hand. In Morocco, the « MSC Group » is mainly active in providing regular container shipping services on the high seas, as well as in logistics services.
« Jobson Italia Srl. » is a limited liability company registered under number 00961480118. Its registered office is located at Via delle Pianazze 150/A, La Spezia, Italy. It is active in the maintenance, repair, and overhaul (MRO) sectors as well as in refurbishment services in the maritime, oil and gas, and industrial sectors. « Jobson Italia Srl » is present in Morocco through its subsidiary, the company « Jobson Morocco S.à r.l. » active in ship repair and maintenance and maintenance of port equipment.
« UASC UAE LLC » is a limited liability company registered under number 100042819100003. Its registered office is located at Prime Tower, Business Bay, office no. 2401-77 Dubai, United Arab Emirates. It is active in the naval engineering services and ship repair sector. « UASC UAE LLC » does not have any activities in Morocco.
