In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

The Competition Council received notification of an economic concentration project concerning the joint control takeover by the company “La Nouvelle Société Avant-Scène SA” of the company “Adeesy SARLAU” alongside its historic partner Mrs. “Meryem BOUTALEB”, through the acquisition of 40% of its share capital and associated voting rights.

“La Nouvelle Société Avant-Scène SA” is a joint-stock company with a share capital of 10,000,000 dirhams, headquartered at Lot Vita n°28, Avenue Hassan II, Rabat, registered with the Rabat Trade Register under number 11837. La Nouvelle Société Avant-Scène is a communication agency active in the fields of event communication, non-musical event production, digital, media relations, operation of cultural and event sites, as well as communication media production.

Mrs. Meryem BOUTALEB is a Moroccan national. She is the founder and sole partner of the company “Adeesy SARLAU”, of which she holds 100% of the share capital and associated voting rights.

“Adeesy SARLAU” is a single-member limited liability company with a share capital of 100,000 dirhams, headquartered at Place Ollier, 33 angle Taoufik Al Hakim and Najib Mahfoud, 1st floor, Gauthier, Casablanca, registered with the Casablanca Trade Register under number 295601. “Adeesy SARLAU” is active in the field of media strategy consulting and the purchase and operation of digital and non-digital advertising spaces for the benefit of its clients.
