NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration project consisting of the exclusive takeover of the company “Esaote S.p.A.” by the company “Midea Group Co., Ltd.” This operation is carried out through the acquisition of 77.5% of the capital and voting rights of the company “Shanghai Lu Zi Enterprise Management Consulting Center”, which controls the company “Esaote S.p.A.”. At the end of the operation, the affiliated entities controlled by the company “Midea Group Co., Ltd.” will hold 100% of the capital and voting rights of the company “Shanghai Lu Zi Enterprise Management Consulting Center”, with the clarification that one affiliated entity currently holds 22.5%, namely, the company “Beijing Wandong Medical Technology Co., Ltd.” Through the planned acquisition of exclusive control of the company “Shanghai Lu Zi Enterprise Management Consulting Center”, the company “Midea Group Co., Ltd.” will be able to exercise control over the company “Esaote S.p.A.”.
“Midea Group Co., Ltd.” is a global technology group listed on the Shenzhen Stock Exchange and the Hong Kong Stock Exchange. It is headquartered in Foshan, a city located in the Guangdong province in southern China. Its activities are organized into several divisions, including Smart Home, Industrial Technology, Intelligent Building Technology, Robotics & Automation, Energy Solutions, Healthcare, and Smart Logistics, among others.
“Esaote S.p.A” is a joint-stock company established and existing in accordance with Italian law, registered in the Genoa Commercial Register under number 05131180969, with its registered office at Via Enrico Melen No. 77, 16152 Genoa, Italy. “Esaote S.p.A” is an international medical technology group operating in the field of medical diagnostic equipment, mainly in ultrasound systems, magnetic resonance imaging (MRI), and health information technologies.
