NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the exclusive takeover by the investment fund “Valoris Stone FPCC-RFA” of the company “Omnium Technologique Assistance et Etudes SA”, through the acquisition, either directly or indirectly via an ad hoc entity created and controlled by the acquirer to the extent of 100%, of 80.1% of its share capital and related voting rights.
“Valoris Stone FPCC-RFA” is a collective capital investment fund with simplified operating rules (FPCC-RFA), governed by Law 41-05 on collective capital investment organizations, under a management regulation approved by the Moroccan Capital Market Authority under number AG/FPCC/011/2025 dated December 26, 2025. The investment policy of the “Valoris Stone” fund focuses on the real estate and building sector, as well as related or ancillary activities such as technical services, engineering, and materials. The fund is controlled by its management company “Valoris Capital”.
“Valoris Capital” is a Moroccan joint stock company, headquartered at No. 200, Boulevard Ghandi, 1st floor, Casablanca, authorized as a management company for collective capital investment organizations by the Moroccan Capital Market Authority, specializing in investment fund management. It is a subsidiary of “Valoris Group”, a Moroccan joint stock company active in financial consulting, real estate investment, and stock market intermediation.
“Omnium Technologique Assistance et Etudes SA” is a Moroccan joint stock company, with its registered office at No. 5, Avenue Addolb, Sector 14, Hay Riad, Rabat, registered with the Rabat Trade Register under number 40203. This company specializes in building consultancy and engineering in Morocco.
