NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration operation concerning the exclusive takeover by the company “Yanfeng Plastic Omnium Automotive Exterior Systems Co., Ltd.” of the companies “HBPO Shanghai Co., Ltd.”, “HBPO Auto Components (Shanghai) Co., Ltd.” (including its Wuhan branch) and “HBPO Beijing Co., Ltd.” (including its Shunyi branch) and “Shanghai Yanfeng Automotive Exterior Systems Co., Ltd.”.
“Yanfeng Plastic Omnium Automotive Exterior Systems Co., Ltd.” is a Chinese company under the laws of the People’s Republic of China (PRC), with its headquarters located at Block 6, No. 1055 Fuhai Road, Jiading Industrial Zone, Shanghai, PRC. The company is active in the production of various automotive components and systems solely in the PRC. It has a local subsidiary in South Africa and does not operate in Morocco. The company is jointly controlled by the companies “OPmobility Exterior Holding S.A.” and “Yanfeng Automotive Trim Systems Co., Ltd.”.
“OPmobility Exterior Holding S.A.” is a duly established and existing company under French law, with its headquarters located at 19 boulevard Jules Carteret, 69007 Lyon, France, registered under number 410 313 555. It is an independent French family group operating globally as a tier 1 automotive supplier, specializing in the development, manufacturing, and supply of components and modules/systems, mainly for light vehicles (including bumpers, tailgates/rear doors, spoilers, fuel storage and distribution systems, fuel cells and hydrogen tanks, integrated hydrogen systems, front supports, active grille shutters, modular solutions for vehicle interiors, electric vehicle charging solutions, front modules, and exterior lighting systems).
“Yanfeng Automotive Trim Systems Co., Ltd.” is a duly established and existing Chinese company under the laws of the People’s Republic of China (PRC), with its headquarters located at No. 399 Liuzhou Road, Shanghai, PRC, specializing in the manufacture of automotive products, active in the production of interior and exterior automotive products, as well as seats, electronic systems, and security systems.
“HBPO Shanghai Co., Ltd.” is a duly established and existing company under the laws of the People’s Republic of China (PRC), with its headquarters located at Room 3505, Level 35, Building 2, No. 391 Guiping Road, Xuhui District, Shanghai, PRC.
“HBPO Auto Components (Shanghai) Co., Ltd.” is a duly established and existing company under the laws of the People’s Republic of China (PRC), with its headquarters located at Floor 2, Building 3, No. 550 Gangwen Road, Lingang New Area, China (Shanghai) Pilot Free Trade Zone, Shanghai, PRC.
“HBPO Beijing Co., Ltd.” is a duly established and existing company under the laws of the People’s Republic of China (PRC), with its headquarters located at No. 101 (Module Workshop), Floors 1-2, No. 15, Yard 18, Ruihe Road, Beijing Economic and Technology Development Zone, Beijing, PRC.
The three companies “HBPO Shanghai, HBPO Auto Components, and HBPO Beijing” are manufacturers of FEM and AGS for automobiles solely in the PRC (and to a very limited extent in South Korea).
“Shanghai Yanfeng Automotive Exterior Systems Co., Ltd.” is a duly established and existing company under the laws of the PRC, with its headquarters located at Block C, Building 3, 999 Yutang Road, Jiading District, Shanghai, PRC. The company is solely active in the production of FEM products for passenger vehicles, exclusively in the PRC.
